Terms and Conditions

Customer Agreement:

All individuals and entities (hereinafter referred to as "Customers") hereby acknowledge and agree that any purchase made from DEV Technologies LLC, whether directly or implicitly, constitutes a binding contractual agreement between the Customer and DEV Technologies LLC. This agreement designates the Customer as a legitimate customer of DEV Technologies LLC, thereby obligating the Customer to adhere to all terms, conditions, stipulations, and obligations set forth by DEV Technologies LLC with respect to all products and services rendered by DEV Technologies LLC.

Purchasing Responsibility:

Customers acknowledge and agree that all purchases made from DEV Technologies LLC are conducted at their own discretion and risk. The Customer assumes full responsibility for the proper use and maintenance of any and all items acquired by, and or services procured from DEV Technologies LLC.

Arbitration Clause:

By engaging in business with, entering into agreements with, or purchasing products or services from DEV Technologies LLC, Customers hereby waive their right to initiate litigation against DEV Technologies LLC under any circumstances. Customers agree to resolve any disputes exclusively through arbitration, engaging in good faith communication with the appropriate stakeholders of DEV Technologies LLC to address any claims, accusations, disputes, or issues that may arise. This arbitration agreement extends to matters that could potentially impact the endeavors, performance, business acumen, or dealings of DEV Technologies LLC, including those involving its employees, affiliates, assigns, stakeholders, partners, contractors, or any entities with which DEV Technologies LLC has previously or is currently conducting business.

Governing Law:

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles.

Limitation of Liability:

DEV Technologies LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to the use of its products or services, even if DEV Technologies LLC has been advised of the possibility of such damages.

Warranty Disclaimer:

All products and services provided by DEV Technologies LLC are offered "as is" and without warranties of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Intellectual Property Rights:

All intellectual property rights in and to the products, services, and materials provided by DEV Technologies LLC, including but not limited to copyrights, trademarks, and patents, remain the exclusive property of DEV Technologies LLC.

Indemnification:

Customers agree to indemnify, defend, and hold harmless DEV Technologies LLC, its affiliates, officers, directors, employees, agents, and contractors from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with the use of DEV Technologies LLC's products or services.

Severability:

If any provision of these Terms and Conditions is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

Modification of Terms:

DEV Technologies LLC reserves the right to modify these Terms and Conditions at any time. Customers are encouraged to review these Terms and Conditions periodically for any updates or changes.

Termination:

DEV Technologies LLC reserves the right to terminate any Customer’s access to its products or services at any time, without notice, for conduct that DEV Technologies LLC, in its sole discretion, believes violates these Terms and Conditions or is harmful to DEV Technologies LLC's interests.

Customers agree to the collection, use, and sharing of their personal information in accordance with DEV Technologies LLC’s Privacy Policy, which is incorporated herein by reference.

Force Majeure:

DEV Technologies LLC shall not be liable for any failure to perform its obligations under these Terms and Conditions due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, labor disputes, natural disasters, or interruptions in supply.

Notices:

Any notices required or permitted under these Terms and Conditions shall be in writing and shall be deemed to have been given when delivered personally, sent by email, or mailed by certified or registered mail, return receipt requested, to the address of the party specified herein.

International Use:

Customers who access and use DEV Technologies LLC’s products and services from outside the United States are responsible for complying with local laws and regulations. DEV Technologies LLC does not guarantee that the products or services provided are appropriate or available for use in locations outside the United States. Accessing our services from territories where such services are illegal is prohibited.

Export Compliance:

Customers agree to comply with all applicable U.S. export control laws and regulations, including the Export Administration Regulations, as well as end-user, end-use, and destination restrictions issued by U.S. and other governments. Customers shall not use, export, or re-export any product or service obtained from DEV Technologies LLC in violation of such laws or regulations.

Language:

These Terms and Conditions are provided in English. If any translation of these Terms and Conditions conflicts with the English version, the English version shall prevail.

Data Protection:

DEV Technologies LLC complies with applicable data protection laws, including the GDPR for Customers in the European Economic Area (EEA). Customers have the right to access, rectify, or erase their personal data, as well as to restrict or object to its processing. Requests should be directed to the contact information provided in the Privacy Policy.

Electronic Communications:

By using DEV Technologies LLC’s products or services, Customers consent to receiving electronic communications from DEV Technologies LLC. These communications may include notices about the Customer’s account and information concerning or related to the products or services provided by DEV Technologies LLC. Customers agree that any notices, agreements, disclosures, or other communications that DEV Technologies LLC sends electronically will satisfy any legal communication requirements, including that such communications be in writing.

Assignment:

Customers may not assign their rights or obligations under these Terms and Conditions without the prior written consent of DEV Technologies LLC. Any attempted assignment in violation of this provision shall be null and void. DEV Technologies LLC may assign these Terms and Conditions, in whole or in part, at any time without notice to the Customer.

Waiver:

The failure of DEV Technologies LLC to enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. A waiver of any right or provision under these Terms and Conditions shall only be effective if in writing and signed by a duly authorized representative of DEV Technologies LLC.

Remedies:

All rights and remedies provided in these Terms and Conditions are cumulative and not exclusive, and the exercise by DEV Technologies LLC of any right or remedy does not preclude the exercise of any other rights or remedies that may be available at law, in equity, or otherwise.

Compliance with Laws:

Customers agree to comply with all applicable laws and regulations in connection with their use of DEV Technologies LLC’s products and services. This includes, but is not limited to, laws related to data privacy, intellectual property, consumer protection, and export control.

Entire Agreement:

These Terms and Conditions, together with any documents expressly referred to herein, constitute the entire agreement between the Customer and DEV Technologies LLC with respect to the subject matter hereof and supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between the Customer and DEV Technologies LLC.
